SHAPE UP SCHOOL VISITS AND CLINICS (the “Contest”)
RULES & REGULATIONS (“Contest Rules”)

Participation in the Contest constitutes full and unconditional agreement and acceptance of
these Contest Rules, which are final on all matters relating to the Contest.
1.
Eligibility:
No Purchase Necessary. The Contest begins at 12:01 p.m. Eastern Time (“ET”) on Tuesday, September 3rd, 2013 and closes at 11:59 p.m. ET on Thursday, May 1st,
2014 (the “Contest Period”). This Contest is open only to legal residents of Ontario 18 years of
age and older who are Ontario elementary teachers employed by a school within a 50 mile
radius of the City of Toronto (each an “Entrant”).
Employees (and their immediate families and those with whom they are domiciled) of Maple
Leaf Sports & Entertainment Ltd. (“MLSE”), the Toronto Maple Leafs, Toronto Raptors, Toronto
FC, and Toronto Marlies (collectively, the “Contest Sponsors”), the National Hockey League
(“NHL”), the National Basketball Association (“NBA”), Major League Soccer (“MLS”) and their
respective Member Teams, the American Hockey League (“AHL”), NHL Enterprises Canada
L.P., NBA Properties Inc., Soccer United Marketing, L.L.C. (“SUM”), MLS Canada ULC, and each of
their respective subsidiaries, affiliates, directors, officers, governors, agents, their advertising
and promotional agencies are not eligible to enter.
2.
How to Enter: There is one (1) way to enter (each an “Entry”):
Anytime during the Contest Period, visitor oror , follow the registration link and fully complete and submit the online program registration form. By registering for Shape Up you will automatically be entered in the Contest. LIMIT: ONE ENTRY PER PERSON. All Entries will become the property of the Contest
Sponsors and will not be returned. Entries that are incomplete or fraudulent are null and void.
The Contest Sponsors accept no responsibility for Entries which are lost, misdirected or delayed
for any reason. Nor is any responsibility assumed for incorrect or inaccurate capture of Entry
information, including (but not limited to), malfunction, human error, lost/delayed/garbled
Internet/e-mail transmission, omission, interruption, deletion, defect, or failures of any
telephone, technical, network, online, or hardware or software or any combination hereof.
Online Entries must be submitted from a valid e-mail account that may be identified by reverse
domain name search.
3.
Prize Draws: There are six (6) prizes available to be won (each a “Prize”). To be eligible
for a particular draw, Entries must be received on or before 11:59 p.m. (ET) on the day prior to the Draw Date specified on the Prize Schedule below. A total of six (6) random draws will be conducted at 50 Bay St., Suite 500, Toronto, Ontario as per the Prize Schedule (Section 5 below) to determine the six (6) potential Prize winners. A complete description of the Prizes is set out in the Prize Schedule. Eligible Entries are only eligible to win one Prize. Odds of winning a Prize in any specific draw depend on the number of eligible Entries received prior to the Draw Date Deadline in question. Subject to the next sentence, eligible Entries that are not selected in any particular draw will be included in each subsequent draw and will be eligible to be selected as a Prize winner on all C:\Users\bscott\Documents\Shape Up\Website\ShapeUpSchoolVisitsandClinics2013 RR's dft1.doc subsequent Draw Dates for the Contest. Entrants selected as potential “Prize winners” in a draw
will not be eligible for subsequent draws.

All incidental costs and expenses not specifically referred to herein, including (without
limitation), transportation to and from the Prize location, food, beverages, equipment, gratuities,
entertainment, concession food and beverages, souvenirs and items of a personal nature,
delivery of Prize, and any expenses not specifically identified as being included in the Prize
description are excluded and are the sole responsibility of the winner.
Before being declared a winner, all selected Entrants must: (i) correctly answer a time-limited
mathematical skill-testing question without assistance or the use of a calculator, administered at
the time of contact; and (ii) the winner must sign a Declaration of Compliance with the Contest
rules and a Release of Liability, releasing the Contest Sponsors, the NHL, NBA, MLS, and their
respective Member Teams, AHL, NHL Enterprises Canada L.P., NBA Properties Inc., SUM, MLS
Canada ULC, and each of their respective subsidiaries, affiliates, directors, officers, governors,
agents (collectively, the “Released Parties”) from any and all liability in connection with: (i)
entrant’s participation in the Contest; (i ) the acceptance and use of any prizes awarded in the
Contest; and (iii) the administration of the Contest by the Contest Sponsors, including (without
limitation) the selection of prize winners or the distribution of prizes awarded in this Contest.
In addition, each participant in the Prize or their parent/legal guardian if Participant is a minor
will be required to sign a Release of Liability prior to being permitted to participate in the Prize
releasing the Released Parties from any liability in connection with the participant’s participation
in the Prize.
The Declaration of Compliance and Release of liability document must be returned on or before
the date indicated on the documents or the prize will be forfeited. If a selected Entrant cannot
answer, or incorrectly answers, the skill-testing question, fails to respond to the notification
within fourty-eight (48) hours of the first attempted contact, or if MLSE is otherwise unable to
contact the selected Entrant within such time, or otherwise does not meet any of the Contest
eligibility requirements, or satisfy any other Contest conditions, that Entry will be disqualified and
another Entry may be selected.
In the event that the selected Prize winner is no longer employed by the school they were
employed by upon registration, that Entry shall be considered null and void and Contest
Sponsors may select another Entry by random draw. In the event that, at the time of prize
execution, a Prize winner is no longer employed by the school they were employed by upon
registration the Prize shall be deemed to have been transferred to the school and the school will
have the right to determine the participant.

General Rules:
Each Prize must be accepted as awarded and no prize substitutions of cash or otherwise or transfer of the Prize will be made, provided that the Contest Sponsors may make Prize substitutions of equal or greater value. No telephone contact or correspondence will be entered into except with potential prize winners. Prizes are non-transferable. By entering this Contest, each Entrant consents to the use of his/her name, image, photograph, voice statement(s) and city of residence by the Contest Sponsors, without further compensation, for any and all publicity purposes, commercial or otherwise, in all media. By entering the Contest, each Entrant agrees to be bound by these Contest Rules and all decisions of the Contest Sponsors, which decisions are final with respect to all matters relating to the Contest, including (without limitation) the selection of Prize winners. All decisions made by the Contest Sponsors with respect to any aspect of this Contest are final. By entering the Contest, Entrants agree to hold harmless and indemnify the Released Parties against any and all liability, damages or causes of action (however named or described with respect to or arising out of either: (i) Entrant’s participation in the Contest; (i ) the receipt or use of the Prizes awarded herein; or (iii) the administration of the Contest (including winner selection) and distribution of the Prizes awarded herein. Entrants hereby release, waive and discharge any and all claims of damage, loss or causes of action (including, negligence), including (but not limited to) death, personal injury or loss or damage to property, which the entrant or any of the entrant’s representatives, heirs, next of kin or assignees (“Entrant’s Representatives”) may have or which may hereinafter accrue to the entrant or Entrant Representatives against the Released Parties as a result of the entrant’s participation in the Contest or the receipt or use of the Prizes awarded herein. The following are prohibited and will result in automatic disqualification from the Contest: (1) using any method that artificially increases odds of winning; (2) non-compliance with these Contest Rules; and (3) any other act which the Contest Sponsors determine, at their sole discretion, jeopardizes the integrity of the contest. The Contest Sponsors may terminate, modify, suspend or withdraw from this Contest (and/or any aspect thereof, including methods for selection of the prize winners), in whole or in part, at any time without notice for any reason, without liability, at their sole discretion or, if viruses, bugs, tampering, or other causes beyond Contest Sponsors’ control affect the security, fairness or proper play or conduct of the Contest. In the event a substitute prize is awarded, such prize must be accepted as awarded and cannot be exchanged for cash or otherwise. Further, Contest Sponsors reserve the right to disqualify any person and void any Entries of that person who it believes has tampered with the Entry process or any other component of the Contest, whose conduct or action affects the administration, security or fairness, integrity or proper conduct of the Contest or who fails to meet or abide by the Contest rules and conditions. The Contest Sponsors shall not be responsible for tampering, theft, human errors (including
gross negligence) ineligibility, lost, late or misdirected Entries or for any problems, failures or
technical malfunctions of any telephone network or lines, computer online systems or servers,
computer software problems or traffic congestion on the internet, or at any website and assume
no liability for damage to Entrant’s or any person’s computer resulting from participating in the
Contest.
