2004 was a pivotal year in the deal business. The economy showed many signs of a recovery from the recession. Corporate earnings began to improve. The financing markets became more aggressive. Al these factors led to increased company valuations. 2004 saw a growing number of private equity funds exiting from successful portfolio company investments and taking advantage of these favorable market conditions. In addition, entrepreneurs also took advantage of the market and achieved liquidity in their company ownership. Exits became a hot topic. There are many considerations when evaluating whether or not it’s time to sel and, if one decides the time is right, there are many strategies to achieve the exit. This panel of experts, who have successful y made exits, wil explore the questions to ask and the things to consider when one begins to consider an exit strategy. Speaker Biographies: Michael J. Burr, Managing Director, JPMorgan Securities Inc. Mike is the Head of the Central Region MidCap Investment Bank of JPMorgan Securities Inc. He is currently responsible for the firm’s investment banking coverage of five principal offices within this region (Chicago, Dal as, Houston, Denver and Atlanta). Mr. Burr joined Texas Commerce Bank in 1986 as an Analyst in its Middle Market Banking unit. He rejoined Chemical Bank in 1991 where he was responsible for the management and development of its leveraged finance business within the Texas footprint.
Mike has eighteen years of corporate and investment banking experience with concentration in thedelivery of investment banking products, inclusive of private and public equity, leveraged financeproducts (bond and debt securities) and advisory services.
Mike's representative transaction experience includes: serving as advisor to San Francisco-basedTexas Pacific Group on its purchase of Burger King; the recapitalization and merger of PilotCorporation and Marathon Ashland Petroleum’s travel center business and the subsequentacquisition of Wil iams Travel Centers; the acquisition and recapitalization of TravelCenters ofAmerica; advisory and acquisition financing of Browning Ferris Industries by Al ied WasteCorporation; the sale of United Building Materials; and multiple financings involving the public and

Mike has a BBA with honors from the University of Oklahoma, where he was an Oklahoma Banking Association Scholar. Gary Katz, Director, Delaware Street Capital Gary Katz is a Director and the Chief Legal Officer of Delaware Street Capital, a multi-strategy value-oriented hedge fund with over $700 mil ion of capital under management. Mr. Katz leads DSC's "process oriented" investing team, where he works to rapidly deploy capital in the context of non-ordinary course business conditions (such as take-overs and spinoffs) and complex legal environments (such as the U.S. Bankruptcy Code and Canada's CCAA). In addition to the Archibald/Fannie Mae/Fannie Farmer rescue financing and exit which won "Deal of the Year" by the Chicago chapter of the TMA, as wel as Middle Market Deal of the Year from the M&A Advisor, Gary also recently lead the $180 mil ion supplemental DIP financing of Mississippi Chemical Corporation, the debt to equity conversion of the former Slater Steel's SBQ Mini-Mil in Hamilton, Ontario, and the acquisition of Lake City Forge. Prior to joining DSC, Mr. Katz was a senior associate in the Corporate Restructuring Group at Skadden, Arps. From 1994 to 1996, Mr. Katz served as a law clerk to Judge Richard G. Stearns, a Federal District Court Judge. Mr. Katz received a BA magna cum laude, Phi Beta Kappa from Dartmouth Col ege and earned his JD cum laude from Harvard Law School. Bradley S. Seaman, Managing Director, Tricor Pacific Capital, Inc. Brad joined Tricor in 1999 as Managing Director of U.S. operations. Prior to joining Tricor, Brad was a Senior Vice President in GE Capital's Merchant Banking Group, and was responsible for transaction origination and structuring in the New York and Chicago offices. Prior to joining GE Capital, Brad spent seven years with GE Plastics where he had marketing responsibility for the electrical/electronic and building construction industries. Mr. Seaman brings to Tricor 15 years of experience in merchant banking, and in the broader context of management, marketing and operations. Brad obtained his undergraduate degree in marketing from the Bowling Green State University. His Masters of Business Administration was obtained from the University of Dal as. Prior to joining GE Plastics in 1984, Brad worked in sales and marketing positions with Owens Corning Fiberglas and Richardson – Vicks Corporation. Brad is a board member of a number of Tricor's portfolio companies. With years of experience and relationships in the U.S., Mr. Seaman provides leadership to Tricor’s office in the Mid-west. John H. Underwood, Managing Director, Pfingsten Partners Mr. Underwood joined Pfingsten Partners in 1996. He is involved in al aspects of the firm's activities with particular focus on transaction and financing activities. From 1989 to 1996, Mr. Underwood was employed by Hel er Equity Capital Corporation where he was one of five individuals responsible for creating and implementing Hel er's private equity investment strategy. From 1986 to 1989, Mr. Underwood was a Vice President in the Midwest Leveraged Capital Group at Citicorp North America, Inc. where he worked with Mr. Bagley. A Wisconsin native, Mr. Underwood holds a BBA degree in Accounting and Finance and an MBA degree in Finance from the University of Wisconsin.
